Terms of Service

• You must be at least 18 years old and able to enter into a binding contract under your local law.
• The Service is intended for business use. By signing up, you confirm you are using it on behalf of an organisation and have the authority to bind that organisation to these Terms.
• You must not be barred from using the Service under applicable sanctions or export-control laws.

• You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
• Notify us immediately at hello@proparion.com of any unauthorised access.
• You must provide accurate and current information during signup and keep it current thereafter.
• One free trial credit per organisation. We may detect and refuse multiple trial accounts from the same network or identity to prevent abuse.

You agree NOT to use the Service to:

• Upload or generate content that is unlawful, infringing, defamatory, obscene, or that violates a third party's intellectual-property or privacy rights.
• Misrepresent your identity or impersonate another organisation in your RFP responses.
• Reverse-engineer, scrape, or otherwise attempt to extract the Service's source code or models.
• Resell or sublicense the Service without our written permission.
• Use the Service to develop a competing product, train a competing AI model, or to harm Kedros's legitimate interests.
• Attempt to disrupt the Service's availability (DoS, abuse of rate limits, etc.) or bypass security controls.

We may suspend or terminate accounts that violate this section with or without notice.

• Paid plans (Starter ₹4,999/month, Growth ₹7,999/month, custom Scale plans) and one-time top-ups (₹1,500 per extra RFP) are billed via Dodo Payments as Merchant of Record. Listed prices are exclusive of taxes if applicable. Currently no GST is chargedon Proparion subscriptions. Should this change in future, we will give 30 days' notice before any tax line item appears on your invoice.
• Subscriptions auto-renew at the end of each billing cycle (monthly or annual) unless you cancel before the next renewal date.
• You may cancel any time from Settings → Billing; cancellation takes effect at the end of the current billing period. You retain access until then.
• Top-up RFP credits do not expire and roll over month to month.
• Annual plans are charged upfront. Monthly plans are charged each cycle.
• No refunds. All payments to Proparion are final and non-refundable, including but not limited to: partial billing periods, mid-cycle cancellations, unused top-up credits, and annual prepayments. The single exception is a clear billing error (e.g. duplicate charge for the same period) — email hello@proparion.com within 7 days of the charge with proof and we will reverse the duplicate.
• Failed payment: we may suspend access after 7 days of an unpaid invoice and terminate the account after 30 days.

• You own your content. You retain all rights to the proposals, RFPs, drafts, and edits you upload or generate using the Service. You grant Kedros a limited, non-exclusive, royalty-free licence to host, process, embed, index, and display that content solely to operate the Service for you.
• We own the platform.Kedros retains all rights in the Service's software, AI prompts, models, designs, brand, and aggregated analytics.
• Your content is confidential. We do not use your customer content to train shared AI models. We do not share it with other customers. We do not sell it.
• AI-generated drafts are based on your past content and the context you provide. You are responsible for reviewing and fact-checking every output before submitting it externally.

We aim for high availability but the Service is provided on an "as-is" and "as-available" basis. Scheduled maintenance is communicated in advance where possible. Force majeure events (third-party outages, regulatory action, natural disasters) are outside our control.

The Service relies on third parties listed in our Privacy Policy (Supabase, OpenAI, Vercel, Dodo Payments, etc.). We are not responsible for outages or changes to those services that affect your use of Proparion, beyond using commercially reasonable efforts to mitigate.

• AI output is not legal advice. Drafted RFP responses are starting points generated from your content; you must review them for accuracy, applicable regulation, and contractual fit before submitting.
• Bid Score and Compliance Matrix are informational tools, not guarantees of winning or compliance.
• The Service is provided "AS IS" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by applicable law.

To the maximum extent permitted by law, in no event will Kedros be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or business opportunities, arising out of or related to the Service.

Our total aggregate liability arising out of or relating to these Terms is capped at the greater of (a) the fees you paid to us in the 12 months immediately preceding the claim, or (b) ₹10,000.

You agree to defend and indemnify Kedros against claims, costs, and damages arising from (i) your customer content, (ii) your violation of these Terms, or (iii) your violation of applicable law in connection with the Service.

• You may close your account any time via Settings or by emailing hello@proparion.com.
• We may suspend or terminate your access for material breach of these Terms with reasonable notice unless the breach requires immediate action (e.g. abuse, illegal use, non-payment after dunning).
• On termination, you may export your customer content within 30 days. After that we may delete it from active stores; backups are purged within 90 days.

We may update these Terms as the Service evolves. Material changes will be communicated via in-app notice or email at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

These Terms are governed by the laws of India, without regard to its conflict-of-laws principles. The courts at Bengaluru, Karnataka shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms, subject to the parties' right to seek injunctive relief in any competent court.

Before filing a claim, you agree to first contact us in good faith at hello@proparion.com and attempt resolution within 30 days.

• If any provision is held invalid, the rest remains in effect.
• These Terms (with the Privacy Policy and any order form) are the entire agreement between you and Kedros regarding the Service.
• You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Failure to enforce any right is not a waiver.
